1. Acceptance of Terms

By accessing or using this Site, submitting a contact form, requesting a marketing assessment, or engaging our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Site or our services.
2. Who We Are
Estrella Digital Marketing Group is a South Texas-based marketing agency providing data-driven advertising strategy, audience identification, campaign management, creative production, and related digital marketing consulting services to businesses, municipalities, and organizations.

4. Use of the Site
You agree to use the Site only for lawful purposes. You may not:
- Attempt to gain unauthorized access to any portion of the Site or its related systems
- Use automated means (bots, scrapers) to extract content without our written permission
- Upload or transmit viruses, malicious code, or unsolicited advertising
- Misrepresent your identity or affiliation when submitting inquiries or forms
5. Intellectual Property
5.1 Our Content. All content on the Site — including text, graphics, logos, images, video, and software — is owned by or licensed to Estrella Digital Marketing Group and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
5.2 Client Materials. Any logos, brand assets, photos, or content you provide to us remain your property. You represent that you have the rights necessary to provide such materials and grant us a limited license to use them solely to perform the agreed services. Per our standard practice, brand logos will not be modified or altered without your express approval.
5.3 Deliverables. Ownership of final deliverables (websites, ad creative, videos, copy, etc.) transfers to the Client upon full payment, unless otherwise specified in a signed SOW. Estrella retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing.
6. Fees, Payment & Cancellation
- Fees for services are set forth in individual proposals or agreements.
- Invoices are due per the terms stated on the invoice (typically Net 15 or Net 30).
- Late payments may be subject to a late fee and/or suspension of services.
- Either party may terminate an ongoing engagement per the notice period defined in the applicable SOW; work completed to date remains billable.
- Ad spend, third-party platform fees, and stock/licensing costs are billed separately or passed through at cost unless otherwise agreed.
7. No Guarantee of Results
Marketing, advertising, and SEO outcomes depend on numerous factors outside our control (market conditions, platform algorithm changes, competitor activity, budget levels). While we apply data-driven best practices, Estrella does not guarantee specific rankings, traffic, lead volume, sales, or return on ad spend.
8. Third-Party Platforms & Data Services
Our services may involve integration with third-party advertising platforms, analytics tools, and Data-as-a-Service providers (e.g., Meta, Google, audience data vendors). Your use of those platforms is also subject to their own terms and privacy policies. We are not responsible for outages, policy changes, or data practices of third-party platforms.
9. Confidentiality
Both parties agree to keep confidential any non-public business, financial, or strategic information disclosed during the engagement, except as required by law or as necessary to perform the services.
10. Disclaimer of Warranties
The Site and our services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Estrella Digital Marketing Group and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from your use of the Site or our services. Our total liability for any claim shall not exceed the fees paid by you for the specific service giving rise to the claim in the preceding three (3) months.
12. Indemnification
You agree to indemnify and hold harmless Estrella Digital Marketing Group from any claims, damages, or expenses arising from your breach of these Terms, misuse of the Site, or content you provide that infringes third-party rights.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Willacy County, Texas (or another venue specified in a signed agreement), and both parties consent to jurisdiction there.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. The “Last Updated” date above reflects the most recent revision.
